These Terms of Service (“Terms” or “Agreement”) govern your access to and use of the WikiSage Slack application (the “App” or “Product”). By installing, accessing, or using the App within your Slack workspace, you agree to be bound by these Terms. If you do not agree with these Terms, you must not install or use the App.
Definitions
The following terms have the meanings ascribed to them throughout this Agreement:
Key Terms
- Authorized User: Any employee, contractor, or member of your Slack organization who has been authorized to use the App.
- Input: Any text, prompts, audio, files (e.g., PDFs, CSVs), or links submitted by You or Your Authorized Users to the App.
- Output: The text, summaries, code, test cases, release notes, or other content generated and returned by the App based on your Input.
- Third-Party Services: External software, APIs, or platforms (e.g., Slack, Jira, Confluence, Google Vertex AI, OpenAI) that the App interacts with.
License Grant and Restrictions
Subject to your compliance with these Terms, ProAgility grants You a non-exclusive, non-transferable, limited, revocable license to access and use the App solely for Your internal business purposes within your Slack workspace.
- Prohibited Activities: You shall not, and shall not permit any Authorized User to reverse engineer, decompile, or attempt to discover the source code or underlying architecture of the App.
- Competitive Use: You agree not to use the App to develop a competing product or service.
- Security Circumvention: You shall not circumvent any security, rate-limiting, or token-management features of the App.
- Redistribution: You agree not to sell, resell, license, sublicense, or distribute the App to any third party.
Acceptable Use and Slack Compliance
Your use of the App is inextricably linked to your use of Slack. You must maintain a valid Slack account and comply with Slack's Terms of Service and Slack's Acceptable Use Policy.
- Prohibited Content: You agree not to use the App to generate, upload, or transmit malicious code, malware, or spam.
- Unlawful Use: You agree not to generate content that is defamatory, discriminatory, harassing, or otherwise unlawful.
- Intellectual Property: You agree not to use the App to infringe upon the intellectual property rights of any third party.
- Enforcement: ProAgility reserves the right to suspend or terminate your access to the App immediately if we determine, in our sole discretion, that you have violated these Acceptable Use terms.
Artificial Intelligence (AI) and Outputs
WikiSage utilizes advanced Generative Artificial Intelligence (LLMs) to process Inputs and generate Outputs. By using the App, You acknowledge and agree to the following:
- Probabilistic Nature (Hallucinations): AI is probabilistic. Outputs may be inaccurate, incomplete, or contain factual errors (commonly known as 'hallucinations'). You are solely responsible for evaluating the accuracy, reliability, and appropriateness of any Output (including generated code, test cases, or project reports) before relying on, executing, or publishing it.
- No AI Training: ProAgility utilizes enterprise-grade AI APIs (such as Google Cloud Vertex AI and OpenAI API). We contractually ensure that your Inputs (including Slack messages and proprietary files) are not used by these sub-processors to train their public foundation models.
- Ownership: As between You and ProAgility, You retain all rights to your Inputs. Subject to your compliance with these Terms, ProAgility assigns to You all its right, title, and interest in and to the Outputs generated by your Inputs.
Third-Party Integrations and Credentials
The App allows you to connect to Third-Party Services (e.g., Jira, custom Gemini models) by providing Personal Access Tokens or API Keys.
- Your Responsibility: You are solely responsible for the security, validity, and financial costs associated with the API keys you provide to the App.
- Encryption: ProAgility encrypts your credentials at rest; however, we are not responsible for any data breaches, downtime, or service interruptions originating from the Third-Party Services themselves (e.g., if Jira experiences an outage).
Protected Health Information (PHI) & Sensitive Data
The App is NOT a HIPAA-compliant service. You agree not to use the App to create, receive, maintain, transmit, or otherwise process any information that includes or constitutes Protected Health Information (PHI) as defined under the HIPAA Privacy Rule (45 C.F.R. Section 160.103), Payment Card Industry (PCI) data, or other heavily regulated datasets.
- Disclaimer: ProAgility expressly disclaims any liability for the unauthorized processing of such sensitive data.
Disclaimer of Warranties
THE APP AND ALL ASSOCIATED OUTPUTS ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. PROAGILITY AND ITS LICENSORS MAKE NO WARRANTIES WITH RESPECT TO THE PERFORMANCE OF THE APP OR RESULTS OBTAINED THEREFROM, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE.
- Implied Warranties: PROAGILITY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
- Continuous Operation: PROAGILITY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Limitation of Liability; Allocation of Risk
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PROAGILITY NOR ITS LICENSORS SHALL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES RELATED TO THIS AGREEMENT.
- Excluded Damages: Nothing in these Terms shall exclude or limit ProAgility’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited under English law. This includes without limitation, lost profits, lost savings, damages arising from loss of use, loss of content or data, or any actual or anticipated damages, regardless of the legal theory on which such damages may be based.
- Liability Cap: IN NO EVENT SHALL PROAGILITY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PROAGILITY FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).
- Risk Allocation: You and ProAgility agree that this allocation is an essential element of the basis of the bargain between the parties.
Term and Termination
These Terms govern your use of the App from installation until termination.
- Your Right to Terminate: You may terminate these Terms at any time by uninstalling the App from your Slack workspace.
- Termination by ProAgility: ProAgility may suspend or terminate your access to the App at any time, with or without cause, upon written notice.
- Data Deletion (30-Day Grace Period): Upon uninstallation of the App, ProAgility initiates a 30-day grace period. If the App is not reinstalled within 30 days, an automated routine will permanently and irreversibly delete all associated workspace data (including chat history, vectors, and credentials) in accordance with our Privacy Policy.
General Provisions
Additional terms that apply to this Agreement:
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. The parties agree to submit to the exclusive jurisdiction of the courts located in London, England.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between You and ProAgility regarding the App, superseding any prior agreements.
